User Agreement

1. Applicability

This User Agreement ("Agreement") forms the legally binding terms and conditions for the use of services, products, and platforms provided by Innobles Smart Technologies Pvt. Ltd., operating under the brand name "Booklinq".

Any person ("User") who inquires about, accesses, or purchases any products or services through Booklinq’s Website, Mobile Application, booking pages, or AI conversational assistants (collectively referred to as "Sales Channels" or the "Platform") agrees to be strictly governed by this Agreement.

For the purpose of this Agreement:

  • "Website" refers to booklinq.co, stay.booklinq.co, and any other web portals operated by Booklinq.
  • "Mobile Application" refers to any official Booklinq app downloaded via the Google Play Store, Apple App Store, or any other digital distribution platform.
  • "Operator" refers to hospitality businesses, event organizers, or property managers listing their services via Booklinq.
  • "Guest" refers to the end-user booking a stay, service, or event.
  • Both Operators and Guests are collectively referred to as "Users".

2. Eligibility to Use

The User must be at least 18 years of age and possess the legal authority to enter into a binding agreement to use the services of Booklinq. Minors (individuals under the age of 18) are strictly prohibited from registering as a User or transacting on the Platform. We reserve the absolute right to terminate your account and block access to the Platform if it is discovered that you are a minor or legally incompetent to contract.

3. Role of Booklinq and Limited Liability

Booklinq operates strictly as a technology facilitator, providing the digital infrastructure to connect Guests with respective service providers (Operators), including but not limited to hospitality operators, homestays, villas, boutique hotels, and event organizers. Booklinq's liability is strictly limited to providing the technological infrastructure to process a confirmed booking.

Any issues, grievances, or concerns faced by the Guest at the time of availing services (including during their stay or at an event) shall be the sole and exclusive responsibility of the Operator. Booklinq assumes no liability whatsoever with respect to the acts, omissions, errors, representations, warranties, breaches, or negligence on the part of any Operator.

Unless explicitly committed by Booklinq as part of a specific proprietary product:

  • Booklinq assumes no liability for the standard or quality of services provided by the respective Operators.
  • Booklinq provides no guarantee with regard to the quality, safety, legality, or fitness of the properties or events.
  • Booklinq does not guarantee the actual physical availability of any services as listed by an Operator.

By making a booking, the Guest legally acknowledges and agrees that Booklinq merely provides a technology platform, and the ultimate liability rests solely on the respective Operator. The ultimate and binding contract of service is strictly between the Guest and the Operator.

4. User's Responsibility

Users are strictly advised to review the descriptions of the properties, cancellation policies, and event details carefully before making a booking. The User agrees to be bound by the specific conditions of booking laid out by the Operator.

If a User intends to make a booking on behalf of another person, it shall be the sole responsibility of the User to inform such person about the terms of this Agreement, including all applicable rules and restrictions. Booklinq shall not be held liable for any claims arising from the User's failure to do so.

5. Security and Account Related Information

While registering on the Platform, Operators will choose a password to access their dashboard. The Operator is solely responsible for maintaining the confidentiality of both the password and the account, and is fully responsible for all activities that occur under their account. Booklinq will not be liable for any loss or damage arising from the Operator's failure to comply with this fundamental security obligation.

6. Fees, Payment, Subscriptions, and Refund Policy

Booklinq reserves the right to charge subscription fees to Operators, as well as transaction and convenience fees to Guests for certain services offered. Booklinq reserves the right to alter any and all fees from time to time. Any such additional fees, including modifications thereof, will be displayed to the User before confirming the transaction.

6.1 Flexible Subscription Plans for Operators

To best accommodate the diverse needs of our Operators, Booklinq offers three subscription options designed for maximum flexibility and aligned with global software-as-a-service (SaaS) standards. You are encouraged to select the plan that best suits your business:

  • Monthly Subscription: Billed on a month-to-month basis.
  • Quarterly Subscription: Billed every three months.
  • Annual Subscription: Billed once a year.

6.2 Subscription Cancellation

Operators retain full control over their subscriptions and may choose to cancel at any time.

Effect of Cancellation: Upon cancellation, the change will take effect at the end of the current prepaid billing cycle. The Operator will continue to have full access to Booklinq's premium features and AI conversational booking layer until the end of that cycle. The account will not be billed for any subsequent cycles.

6.3 Strict No-Refund Policy

To maintain the high quality of our services and support, all payments made for Booklinq subscriptions are strictly non-refundable.

We do not provide pro-rata refunds or credits for partial billing periods or unused time. Operators are welcome to continue utilizing all premium Booklinq features until the conclusion of the current paid billing cycle.

The subscription period is calculated starting from the exact hour and date that the payment is successfully processed. Billing is tied to the availability of the service from the time of payment, irrespective of whether the Operator has actively used the services, completed onboarding, or activated their branded URL.

6.4 How to Request a Cancellation

Operators may cancel their subscription via two methods:

Option 1: Online via the Dashboard (Recommended)

  1. Log in to the Booklinq Operator Dashboard.
  2. Navigate to the Subscription section.
  3. Click Cancel Subscription and follow the prompts. The cancellation will be automatically scheduled for the end of the current billing cycle.

Option 2: Contact Support

For assistance or to provide detailed feedback, Operators may reach out to our support team:

Please include your account details (e.g., https://booklinq.co/[Hotel name]) and the reason for cancellation to help us process the request swiftly.

6.5 Short Charging

In cases of short charging of the booking amount, taxes, or statutory fees owing to any technical error or other reason, Booklinq and the Operator reserve the right to deduct, charge, or claim the balance amount from the Guest.

7. Usage of Mobile Number, Communication Details, and Third-Party Apps

Booklinq may send booking confirmations, itinerary information, cancellations, payment confirmations, and refund statuses via SMS, WhatsApp, Instagram Direct Messages, or voice calls to the contact details provided by the User.

Third-Party Platform Compliance: Where Booklinq integrates with Meta (WhatsApp, Facebook, Instagram) to provide AI conversational booking layers, the User is solely responsible for ensuring their use of these platforms complies with Meta's Terms of Service. Booklinq is not liable for any disruption of service, loss of business, or damages if Meta, or any other third-party platform where the User shares their Booklinq URL, restricts, suspends, or bans the User's account.

8. Right to Refuse or Cancel

By Booklinq: Booklinq at its sole discretion reserves the right to refuse any booking or user registration without assigning any reason thereof. Booklinq may also cancel a booking or suspend an Operator’s account if we reasonably suspect that the transaction is fraudulent, illegal, or violates this Agreement.

By the Operator: Operators reserve the right to refuse admission to a Guest if the Guest does not possess valid ID proofs, behaves in an unlawful manner, or violates the Operator's specific property rules. Booklinq shall not be liable for any such refusal of admission.

9. Fake Calls and Fraudulent Activities

Booklinq's employees or authorized representatives will never contact a User asking for their credit or debit card number, expiry date, CVV, net banking login, password, or OTP. Any such communication should be considered strictly fraudulent. Booklinq shall not be liable for any financial losses arising from the User sharing their confidential payment details with fraudulent third parties.

10. Force Majeure

There may be exceptional circumstances where Booklinq and/or the Operators are unable to honor confirmed bookings due to reasons including, but not limited to, acts of God, labor unrest, insolvency, business exigencies, government decisions, terrorist activity, operational and technical issues, or route and flight cancellations. If Booklinq is informed in advance of such situations, it will make best efforts to notify the Guest. However, Booklinq shall not be held liable for any losses or compensation for such cancellations.

11. Advertisers on Booklinq, and Linked Websites

The Platform may contain links to third-party websites. Booklinq does not control such websites and is not responsible for their contents. Booklinq's inclusion of hyperlinks to such websites does not imply any endorsement of the material on such websites or any association with their operators.

12. Indemnification

The User agrees to indemnify, defend, and hold harmless Booklinq, its affiliates, vendor partners, and their respective directors and employees from and against any and all losses, liabilities, claims, damages, demands, costs, and expenses (including reasonable legal fees) asserted against or incurred by Booklinq that arise out of or result from:

  • The User’s breach of this Agreement.
  • Any claims made by any third party (including Guests suing Operators) due to, or arising out of, or in connection with, the User's use of the Platform.
  • The User's violation of any applicable laws.

13. Miscellaneous

Severability: If any provision of this Agreement is determined to be invalid or unenforceable, such provision shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.

Jurisdiction: This Agreement is subject to the laws of India. All legal matters and disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.

Modification of Terms: Booklinq reserves the right to change the terms, conditions, and notices under which the Services are offered. The User is responsible for regularly reviewing these terms and conditions.

14. Content Moderation & Guest Reviews

Guest Review Moderation Guidelines: We strictly accept reviews only from Guests who have successfully booked through Booklinq and completed their stay or event. Occasionally, we may aggregate and display customer reviews from verified third-party platforms.

All reviews submitted by Guests are initially auto-moderated. Reviews that fail the auto-moderation check (suspected fraud, irrelevancy, profanity, etc.) are manually moderated by our team. Booklinq makes every effort to ensure the intent of the review remains unchanged. We do not edit reviews for grammar, spelling, or sentence construction.

We reserve the absolute right to investigate and delete any review we reasonably believe is fake or malicious. Booklinq makes no representation or warranty regarding the accuracy, genuineness, or veracity of any review. Any User who relies on such reviews does so entirely at their own risk.

14.1 Guidelines for Text Reviews

  • Accepted Reviews: We accept both positive and negative reviews provided they appear genuine. If a review contains abusive language, personal attacks, specific pricing details, or controversial statements, that specific text may be masked, edited, or removed, while the remaining appropriate text is published.
  • Rejected Reviews: We will reject/delete duplicate reviews, reviews from no-shows/cancellations, fake/irrelevant reviews, reviews for the wrong property, or any review triggering our fraud-detection algorithms.

14.2 Guidelines for Image Reviews

  • Accepted Images: Images focusing on the room, bathroom, interior, reception, dining area, or any actual facility provided.
  • Rejected Images: Selfies, irrelevant images, inappropriate content (nudity, obscenity, illegal substances), duplicate images, screenshots, heavily watermarked images, or low-resolution files.

14.3 Operator Reply Moderation Guidelines

Operators are encouraged to reply to Guest reviews.

  • Accepted Replies: Genuine, professional justifications or apologies, and courteous acknowledgements.
  • Rejected/Edited Replies: Replies containing abusive language, defamatory comments, or completely irrelevant text. Replies containing direct contact details or statements attempting to bypass the Booklinq platform for future direct bookings will be removed or heavily edited.

15. Recommendation & Ranking System

Booklinq utilizes advanced algorithms to display properties and events designed to help Guests discover the best options.

Search Rankings: When a Guest searches on the Platform, results are generated based on inputs (e.g., destination, dates) combined with historical data. Default ranking factors include:

  • Gross booking volume and net conversion rates.
  • Guest review scores and ratings.
  • Geographical location and proximity to search points.
  • Pricing competitiveness and property type.
  • Click-through rates of the property listing.

Filters and Sorting: Guests may narrow down accommodations using filters. While the default view is sorted by algorithmic "popularity", Guests can manually sort results by price or ratings.

Sponsored Listings: Users may see certain properties highlighted with a badge that says ‘Sponsored’ or ‘Ad’. This indicates the Operator has paid Booklinq a promotional fee to appear in that specific, highly visible position.

16. Consent and Binding Acceptance

By accessing, browsing, registering an account, or making a booking on the Booklinq Platform, you acknowledge that you have carefully read, fully understood, and unconditionally agree to be bound by this User Agreement, our Privacy Policy, and any other applicable operating rules or policies published on the Platform.

If you are entering into this Agreement on behalf of a company, business, or other legal entity, you represent and warrant that you have the legal authority to bind that entity to these terms.

IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, YOU MUST IMMEDIATELY STOP USING THE PLATFORM AND ABSTAIN FROM MAKING ANY BOOKINGS.
